M&A Transaction Manager

Your Role

• Co-ordinate various deal execution work flows (including due diligence, deal structuring, regulatory and approval process), develop process timeline and pre-signing and pre-closing action plan, and monitor execution of key milestones and tasks assigned to members of the deal team.        
• Build up good relation and trust of potential M&A vendors or joint-venture partners, and facilitate communication with such vendor and partners (particularly in the PRC)     
• Review deal valuation prepared by business development manager 
• Assist in structuring of deals in co-operation with other corporate functions           
• Assist in deal negotiation from prelimary non-binding agreement (such as letter of intent) to definitive binding transaction documents          
• Coordinate the due diligence process (Finance, Tax, HR, Legal, IT, Environmental, Health and Safety) in close cooperation with the relevant expert function  
• Consolidate the key deal risks and diligence issues for internal review ans monitor proper handling of such issues in the deal negotiation and documentation     
• Co-ordinate involvement of corporate functions (finance, tax, HR, legal, EHS, others) during deal execution process           
• Facilitate information flow to relevant functions and contributors in the M&A process      
• Assist deal integration manager with the preparation of the integration process.     
• Provide general assistance to Group M&A officer Asia in transaction management of M&A projects in Asia.           

Your Profile

a) A degree in economics, business, accounting or finance
b) 7 – 10 years working experience, preferably in M&A transaction support
c) Big four background and qualifications in accounting/finance are asset
d) Project management
e) Drive for result, with focus on key issues (not lost in details)
f) Team player, who works effectively under pressure
g) Excellent communication skills in English and Mandarin (spoken/written)
h) Interact with senior management (internal/external)
i) Mobility within Asia is an asset
